This Mutual Non-Disclosure Agreement (NDA) is entered into as of [Effective Date], to protect the confidentiality of information shared between the parties.
For the purpose of this Agreement, “Confidential Information” shall include any information disclosed, in any form, by either party that is marked as confidential or that a reasonable person would understand to be confidential.
The Receiving Party agrees to: (a) maintain the confidentiality of the Confidential Information; (b) not disclose the Confidential Information to third parties without prior written consent; and (c) use the Confidential Information solely for the purposes of evaluating or engaging in a business relationship.
Confidential Information does not include information that: (a) is publicly available; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party; or (d) is disclosed pursuant to a legal obligation.
This Agreement shall commence on the Effective Date and continue for a period of [Duration], at which point it shall automatically terminate, unless extended by mutual written agreement.
