Recitals:
WHEREAS, the Disclosing Party possesses certain confidential information that it wishes to protect from unauthorized disclosure; and
WHEREAS, the Receiving Party is willing to receive and hold such confidential information under the terms of this Agreement.
1. Definition of Confidential Information
Confidential Information refers to any data or information that is proprietary to the Disclosing Party and not generally known to the public, including but not limited to, business strategies, financial information, customer lists, and trade secrets.
2. Obligations of Receiving Party
a. The Receiving Party agrees to keep the Confidential Information confidential and to protect it with the same degree of care that it uses to protect its own confidential information.
b. The Receiving Party shall not disclose any Confidential Information to any third party without the prior written consent of the Disclosing Party.
c. The Receiving Party will only use Confidential Information for the purpose of [Specify Purpose].
3. Exclusions from Confidential Information
Confidential Information does not include information that:
a. is or becomes publicly known through no breach of this Agreement;
b. is received from a third party without breach of any obligation of confidentiality;
c. is independently developed by the Receiving Party without use of or reference to the Confidential Information.
